Membership Agreement

We have clear expectations so we can create the best experience together.

By joining the Luminary Community, you’re entering into a trusted partnership with us and with your peers. To ensure clarity and fairness, these are the terms that guide your membership:

1. Welcome to Luminary

Luminary is a private community designed for People and HR professionals seeking confidential peer connection, thoughtful exchange, and professional support.

These Terms of Participation (“Terms”), together with our Privacy Policy, Community Guidelines, and any additional policies referenced herein (collectively, the “Agreements”), govern your access to and participation in Luminary and all related services, platforms, events, and content (the “Community”).

By applying for membership, accessing, or participating in Luminary, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or participate in the Community.

 

2. Membership & Application Process

Membership in Luminary is by application and review only.

We intentionally curate each intake to maintain balanced, diverse groups and a high-trust environment. Submission of an application does not guarantee acceptance. Luminary reserves the right, in its sole discretion, to accept, defer, or decline applications without obligation to provide individual feedback.

If an application is not accepted during a given intake, it may be reconsidered in a future intake cycle. 

3. Account Access & Responsibility

If accepted, you may be invited to create an account or access Luminary platforms. You are responsible for:

• Maintaining the confidentiality of your login credentials
• Ensuring all information you provide is accurate and up to date
• All activity that occurs under your account

Membership is individual and non transferable. Access may not be shared, reassigned, sublicensed or resold under any circumstances.

 

4. Nature of the Community & Permitted Use

Luminary provides a facilitated peer environment, including, but not limited to:

• Small group Connection Circles
• Digital community spaces
• Live or virtual gatherings
• Curated content and discussions

Access is granted for personal, non commercial use only. You may not reproduce, resell, distribute, scrape, or otherwise exploit any part of the Community for external or commercial purposes without prior written permission.

Video recording, audio recording or any form of taping is strictly prohibited.

5. Confidentiality & Psychological Safety

Confidentiality is foundational to Luminary.

As a condition of participation, all members must agree to and comply with Luminary’s Confidentiality Agreement and Community Guidelines. This includes, but is not limited to:

• Not disclosing identities, personal experiences, or sensitive information shared within the Community
• Respecting professional, organizational, and personal boundaries
• Upholding discretion in both online and offline interactions

Any breach of confidentiality may result in suspension or termination of membership, at Luminary’s discretion. Confidentiality obligations shall survive termination of membership indefinitely.

6. Member Contributions & Content

Members may share insights, experiences, questions, and materials (“Member Content”) within the Community.

You retain ownership of your original content. By participating, you grant Luminary a limited, non-exclusive right to host, display, and facilitate Member Content solely for the purpose of operating and improving the Community.

Luminary will not publicly use, reproduce, or attribute Member Content without your explicit consent. All Luminary frameworks, methodologies, materials and branded content remain the intellectual property of Luminary and may not be reproduced, distributed, or commercialized without written consent.

Luminary may photograph or record community events for internal, archival, or promotional purposes. Participation constitutes consent unless a member submits a written opt-out request in advance.

7. Acceptable Conduct

Members are expected to engage with professionalism, respect, and care.

Conduct that undermines trust, safety, or the integrity of the Community including harassment, solicitation, misuse of information, or misrepresentation is not permitted.

Luminary reserves the right to suspend or terminate membership immediately, without prior notice, where conduct is deemed harmful to the community. Direct solicitation, prospecting, recruiting, pitching, or promotion of services within the Community is prohibited unless expressly authorized by Luminary.

 

8. Fees, Renewals & Refunds

Membership fees are disclosed at the time of acceptance and are billed in advance for the applicable term.

Unless otherwise stated:

• All membership fees are final sale
• No refunds, partial refunds, or prorated reimbursements will be issued for unused time, non-participation, scheduling conflicts, or voluntary withdrawal
• Failure to engage with the Community does not constitute grounds for refund
• Removal, suspension, or termination due to breach of these Terms or Community Guidelines does not entitle the member to a refund
• Fees may change for future terms with advance notice
• Failure to remit payment may result in suspension or termination of membership

Membership renews automatically at the end of each term unless cancelled in advance.

9. Suspension & Termination

Luminary reserves the right to suspend or terminate membership at its discretion, including, but not limited to, the following circumstances:

• Breach of these Terms or any related policies
• Conduct that compromises the safety, trust, or integrity of the Community
• Non-payment of applicable fees
• Legal or regulatory requirements

Upon termination, access to the Community will immediately cease. Certain provisions, including but not limited to confidentiality and limitation of liability, will survive termination.

10. No Professional Advice Disclaimer

Luminary provides peer based discussion and shared perspective only.

Content shared within the Community does not constitute legal, financial, medical, or professional advice. Members are solely responsible for exercising their own judgment and seeking qualified professional advice when appropriate.

 

11. Limitation of Liability

To the fullest extent permitted by law, Luminary shall not be liable for any indirect, incidental, or consequential damages arising from or related to participation in the Community.

In no event shall Luminary’s total liability exceed the amount of fees paid by you to Luminary in the three (3) months preceding the event giving rise to the claim.

12. The Terms

Luminary may update these Terms from time to time. Material changes will be communicated in advance. Continued participation in the Community after such updates take effect constitutes acceptance of the revised Terms.

14. Force Majeure Clause

Luminary shall not be liable for delays, interruptions, or cancellations resulting from events beyond reasonable control, including but not limited to illness, technology failures, natural disasters or global disruptions.

Agreement

By joining Luminary, you acknowledge and agree to these Terms. Together, we create the trusted, human-first community that makes Luminary what it is.

Luminary is designed specifically for in house People and HR practitioners. Vendors, consultants, and service providers may be restricted or declined in order to preserve the integrity, trust, and peer-based nature of the Community. In the event of a dispute, both parties agree to attempt good-faith resolution prior to pursuing legal remedies.

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from participation in Luminary shall be subject to the exclusive jurisdiction of the courts of British Columbia.
